Regulatory & Jurisdictional Disclosure
High Value Bridge is intended to function as a private business and professional networking and introduction platform. Its regulatory characterization depends on the activities actually performed, the compensation model and the jurisdictions involved.
1. United States
High Value Bridge is not represented as a U.S. broker-dealer, securities dealer, investment adviser, exchange, alternative trading system or crowdfunding portal unless expressly stated. Certain activities—including finding investors or buyers/sellers of businesses, solicitation, negotiation, execution, facilitating securities transactions and transaction-related compensation—can create broker-dealer considerations.
2. India
High Value Bridge is not represented as a SEBI-registered stock broker, investment adviser, merchant banker, portfolio manager or other SEBI-registered intermediary unless expressly stated. Participants should use appropriately registered or authorized intermediaries where required.
3. UAE / DIFC / ADGM
Requirements differ between UAE mainland and financial free zones such as DIFC and ADGM. High Value Bridge is not represented as authorized by the DFSA, FSRA or another financial regulator unless expressly stated.
4. Introductions Are Not Recommendations
An introduction does not constitute investment advice, a securities recommendation, solicitation on behalf of an issuer or investor, an endorsement, valuation, fairness opinion or due-diligence certification.
5. No Execution, Custody or Client Funds
Unless expressly authorized and documented, High Value Bridge does not execute securities transactions, hold client securities, take custody of investor funds, or exercise discretionary investment authority.
6. Compensation
Transaction-based compensation can be a significant regulatory issue. No success fee, commission, percentage of capital raised, percentage of purchase price or similar securities-linked arrangement should be adopted without jurisdiction-specific legal review.
7. Regulated Counterparties
Where a transaction requires a broker-dealer, investment adviser, merchant banker, securities dealer, financial intermediary or other licensed professional, participants should engage the appropriately authorized party.
8. Jurisdictional Restrictions
Participants are responsible for ensuring that their participation, communications, offers, transactions and use of the platform comply with the laws applicable to them.
9. No Regulatory Endorsement
High Value Bridge does not claim regulatory approval, registration or endorsement unless expressly identified and verifiable.
